Terms of Service
DRAFT — under review, not yet in effect. These terms have not been finalized and do not yet govern use of the service.
These Terms govern your use of OpenAgent ("we," "us"), a service that lets you provision cloud "boxes" running coding agents that you drive remotely. By creating an account you agree to these Terms, to the Acceptable Use Policy, and to the Privacy Policy.
Your account
You must give an accurate email and keep your credentials secure. You're responsible for everything done under your account. You must be able to form a binding contract and not be barred from the service under applicable law or sanctions.
Prepaid credits
- The service is prepaid. You buy credit packs, and running boxes draw down your balance. Payments are processed by Stripe; we never see your full card details.
- Credits are non-refundable, except where we choose to issue a discretionary refund or where the law requires one. Nothing here waives rights you can't waive.
- Credits do not expire.
- If you request a refund or file a chargeback, your balance may go negative and the affected boxes are suspended until the balance is restored.
- Prices, pack sizes, and rates are set operationally and may change; changes don't affect boxes already running at their snapshotted rate.
Bring your own provider key
OpenAgent runs the agent; it does not supply the underlying AI model. You bring your own API key from your chosen provider (for example OpenAI, Anthropic, or Google). Your use of each provider is governed by that provider's terms and is your responsibility, including staying within their rules and paying their charges. In particular, providers such as Anthropic and Google do not permit routing subscription-plan credentials through third-party services like ours — use an API key, not a subscription login. We don't intermediate, control, or warrant your relationship with any provider.
Acceptable use
Your use of boxes is subject to the Acceptable Use Policy. Because your boxes run on cloud infrastructure we operate under our provider's terms, our provider's rules flow down to you: you may not use a box in any way that would breach those rules or that uses the infrastructure for a third party's benefit by reselling or sublicensing your access. We may suspend or terminate boxes or accounts for violations, as described in the AUP, and immediately in serious cases.
Service provided "as is"
The service is provided "as is" and "as available," without warranties of any kind, express or implied, to the fullest extent the law allows. We don't guarantee the service will be uninterrupted, error-free, or that any box or its data will be preserved. Back up anything you care about.
Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or exemplary damages, or for lost data or profits. Our total liability for any claim relating to the service is limited to the amount you paid us in the three months before the event giving rise to the claim.
Termination
You may stop using the service and close your account at any time. We may suspend or terminate your access for violations of these Terms or the AUP, for non-payment, or where required by law. On termination your boxes are destroyed and their disk contents are erased.
Changes
We may update these Terms. Material changes will be reflected by the "Last updated" date above, and continued use after a change means you accept it.
Governing law
These Terms are governed by the laws of the District of Columbia, United States, without regard to conflict-of-laws rules. Disputes are subject to the courts located in the District of Columbia.
